Collaborate with the Investment directorate and offer legal support for transactions and deals. My responsibility is to manage the legal process in the investment directorate by handling the preparation and finalization of transaction documents, including but not limited to: (i) conducting legal review on Non-Disclosure Agreement (NDA); (ii) conducting legal review on Indicative Term Sheet (ITS) and Final Term Sheet (FTS); (iii) conducting legal review on Legal Due Diligence (LDD) report; (iv) conducting legal review on mandate letter; (v) conducting legal review on investment’s correspondence letter; and (vi) reviewing facility agreement and security documents, while collaborating closely with relevant internal divisions for ensuring smooth process of financing and loan disbursement.

My objective is to make sure that every transaction is carried out efficiently and effectively, in compliance with laws, regulations, and internal SOPs while minimizing legal risk.

Assist and handle PPP, acquisition and financing transactions, among others:

● acting as legal counsel on preparation stage for development of Dharmais Cancer Hospital PPP Project;

● acting as legal counsel on preparation stage for development of unsolicited scheme drinking water system PPP Project in Bali;
● preparing the guarantee agreement for PPP Non-Toll Road Project in South Sumatera and Riau;

● conducting legal due diligence for the construction and development of Mine-Mouth Coal-fired Power Plant Project in Jambi, Indonesia; and
● conducting legal due diligence on a well-known mining company in Indonesia as the coal supplier for a Coal-Fired Power Plant Project in Bangladesh.

Assist and handle merger & acquisition, corporate and financing transactions, among others:

● representing PT Bank Negara Indonesia (Persero) Tbk with respect to syndicated credit facility transaction for PT Kertanegara Energi Perkasa;
● representing PT Bank QNB Indonesia Tbk with respect to the amendment of syndicated credit facility agreement for PT Kertas Basuki Rahmat;
● representing PT Bank CIMB Niaga Tbk with respect to the restructuring of syndicated credit facility for PT Indoferro;
● representing PT Bank Negara Indonesia (Persero) Tbk in relation to amended & restated syndicated credit facility transaction for PT Rayon Utama Makmur; and
● the acquisition transaction of a company engaged in the computer consulting services and management of computer facilities business sector.
